1. Introduction
1.1. These Terms and Conditions (the “Terms”) govern the Neon Developer Bootcamp (“Bootcamp”) a free educational initiative to teach EVM developers how to deploy applications on Solana hosted by Neon EVM Team and Neon Software Ltd. (“Organizer”, “Neon”), a legal entity established and existing in accordance with the laws of the British Virgin Islands. By entering and participating in the Bootcamp, participants (the “Participant”) acknowledge that they read, understood, and agreed to be bound by these Terms and any additional guidelines issued by Neon from time to time.
1.2. The Bootcamp is offered at the sole discretion of Neon. Rules, terms, conditions, benefits or prizes may be modified at any time by Neon with or without notice. Such changes may affect previously earned prizes and eligibility of certain Participants to participate in the Bootcamp.
1.3. Any prizes within the Bootcamp are not guaranteed.
1.4. The personal data of Participants shall be collected, processed, and stored in accordance with the Organizer’s Privacy Policy, and in compliance with applicable data protection and privacy laws.
2. Participation Eligibility
2.1. To be eligible to participate in the Bootcamp the Participant must:
- not reside in or otherwise be based in the USA, Canada, China, Zimbabwe, Yemen, Venezuela,South Sudan, Nicaragua, Mali, Myanmar, Libya, North Korea, Syria, Iran, Cuba, Afghanistan, Crimea region of Ukraine, Donetsk People’s Republic (DNR), Luhansk People’s Republic (LNR) (the “Restricted Territories”);
- be at least 18 years of age or the age of majority in your jurisdiction;
- accept these Terms;
- not be a current employee or immediate family member of an employee of the Organizer or its affiliated companies;
- accumulate and use Prizes for personal use only;
- comply with local laws and regulations applicable to your participation.
2.2. Organizer reserves the right to terminate and disqualify Participants at any time from participating in the Bootcamp if they breach or do not comply with these Terms or any other part of terms and conditions established by Neon.
3. Registration
3.1. Registration for the Bootcamp is offered free of charge and shall be conducted exclusively through the official registration form made available by the Organizer.
3.2. In order to complete registration, participants are required to submit the following information: full name or a pseudonym, a valid email address, Twitter/X username, Discord identifier, and a compatible wallet address.
3.3. The registration period shall be publicly announced on the official Bootcamp page. The Organizer reserves the exclusive right to modify the duration of the registration window, including but not limited to extending or shortening the registration period, at its sole discretion and without prior notice.
3.4. The Organizer reserves the right, in its sole and absolute discretion, to reject or disqualify any registration that is determined to be incomplete, inaccurate, misleading, or submitted with
fraudulent intent.
4. Prizes
4.1. Participants may be eligible to earn prizes (the “Prizes”) in connection with various actions, subject to the approval of the Neon team.
4.2. The allocation and awarding of Prizes for any qualifying activity shall be determined solely at the discretion of the Organizer. Certain actions may not be eligible for any Prizes, while others may receive retrospective Prizes, as determined by the Organizer based on the nature and assessed value of the contribution.
4.3. Neon reserves the right to verify all activities undertaken by Participants to assess eligibility and ensure compliance with these Terms and the overall objectives of the Bootcamp. No Prizes shall be awarded for activities deemed ineligible, non-compliant, abusive, or categorized as spam.
4.4. The Neon team reserves the right to award Prizes and/or introduce additional categories of Prizes for other types of actions or contributions at its sole discretion. This provision enables the recognition of a broader spectrum of meaningful contributions made by Participants.
4.5. In order to receive any Prizes, winning Participants shall be required to provide a valid cryptocurrency wallet address, full legal name, physical address, and any other identifying or verification information reasonably requested by the Organizer. Residents of jurisdictions designated as Restricted Territories shall not be eligible to participate or receive Prizes.
4.6. The Organizer shall not be liable for any technical malfunctions, disruptions, computer viruses, or other circumstances beyond its reasonable control that may affect a Participant’s ability to engage in the Bootcamp or influence the outcome thereof.
4.7. The Bootcamp features a total prize pool of $5,000 USD, which shall be distributed among the top five Participants based on the highest point totals as recorded on the official Bootcamp leaderboard, as follows:
- First Place: $2,000 USD;
- Second Place: $1,500 USD;
- Third Place: $500 USD;
- Fourth Place: $500 USD;
- Fifth Place: $500 USD.
4.8. All Prizes shall be distributed in the form of a cryptocurrency stablecoin, as designated by the Organizer, within thirty (30) days following the official announcement of the Bootcamp winners. Each Participant shall be solely responsible for any and all taxes, duties, fees, or currency exchange costs arising from or related to the receipt of any Prize. The Organizer shall bear no responsibility or liability for any such obligations.
4.9. In the event of a tie among Participants with equal leaderboard scores, the Organizer reserves the right to adjust or redistribute the prize pool allocation in its sole discretion.
4.10. Prizes will be distributed within fourteen (14) days following the conclusion of the Bootcamp, subject to verification of eligibility and submission authenticity. Participants who register through early access invitations, including members of Neon’s X community and affiliated partner channels, may receive a reward boost, subject to criteria defined by the Organizer.
5. Prize Eligibility
5.1. To be eligible to receive any Prize under the Bootcamp, Participants must satisfy all of the following conditions:
-be officially registered for the Bootcamp in accordance with Section 3 of these Terms;
-successfully complete all mandatory Bootcamp tasks and submit a qualifying project for each
such task, as specified by the Organizer;
-ensure that all submissions are original works created solely during the Bootcamp period, and
do not infringe upon the intellectual property or other rights of any third party;
-submit any required documentation, forms, or supplementary materials within the timeframes
stipulated by the Organizer; and
-comply at all times with the Bootcamp’s Code of Conduct, as detailed in Section 6.1 of these
Terms.
5.2. The Organizer reserves the right, in its sole and absolute discretion, to verify the identity of any Participant and the authenticity and originality of any submission prior to the disbursement of any Prize. Failure to meet the above requirements may result in disqualification from Prize eligibility without notice.
6. Limitation of Liability
6.1. To the maximum extent permitted by applicable law, the Organizer hereby disclaims all warranties, representations, and liabilities in connection with the Bootcamp. In particular, the Organizer:
-makes no representations or warranties regarding the continuous availability, error-free functionality, or any specific outcomes or results arising from participation in the Bootcamp;
-shall not be liable for any indirect, incidental, special, exemplary, or consequential damages,
including but not limited to loss of data, loss of profits, or loss of opportunity, arising out of or in connection with participation in the Bootcamp, regardless of the cause and whether arising in contract, tort, or otherwise;
-makes no representations, warranties, or guarantees of any kind, express or implied, regarding the availability, uninterrupted operation, security, accuracy, completeness, or reliability of the Bootcamp platform, its content, or the outcomes of participation;
-assumes no responsibility for lost, delayed, misdirected, incomplete, or corrupted submissions, nor for any technical issues, including but not limited to system outages, server downtime, internet connectivity problems, software or hardware malfunctions, or failures caused by third-party platforms or service providers;
-does not warrant that the Bootcamp or any related materials will be free of viruses, malware, or other harmful components;
-reserves the right to cancel, suspend, modify, or terminate the Bootcamp at any time for any
reason, including but not limited to force majeure events, fraud, technical failure, or any other
cause beyond its reasonable control, without incurring any liability.
6.2. Without prejudice to the general disclaimers set forth in Section 6, Neon and its affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages of any kind (including but not limited to loss of revenue, income, profits, or data), whether in contract, tort (including negligence), or otherwise, arising from or in connection with the Bootcamp, Prizes, orthese Terms.od, and agreed to be bound by these Terms and any additional guidelines issued by Neon from time to time.
6.3. Prizes awarded as part of the Bootcamp do not constitute legal tender, are non-transferable, and possess no inherent monetary value. They are offered solely as part of a promotional initiative.
6.4. Prizes are governed by terms and conditions as determined by Neon and are intended to
encourage engagement and loyalty. Neon reserves the right, at its sole discretion, to define, modify, or withhold the value, form, or benefits of the Prizes at any time without obligation to compensate Participants.
6.5. No membership fees are charged in connection with the Bootcamp. However, Participants
acknowledge and accept that use of third-party services, such as internet or blockchain providers,
may result in personal data usage fees or other access costs, for which Neon bears no
responsibility.
6.6. Neon disclaims responsibility for technical malfunctions, internet or blockchain failures, software bugs, hardware disruptions, or other technological interruptions that may affect the functionality or fairness of the Bootcamp. In cases of system compromise due to hacking, unauthorized intervention, viruses, or similar events, Neon may take any actions deemed necessary to preserve the integrity of the program, including modification, suspension, or termination.
6.7. Participants expressly acknowledge that participation in the Bootcamp is voluntary and at their own risk. The Bootcamp and related Prizes are provided strictly on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Code of Conduct
7.1. All Participants are expected to adhere to the following standards of conduct throughout the duration of the Bootcamp:
-treat all fellow Participants, mentors, and Organizer with respect, courtesy, and professionalism;
-refrain from any form of harassment, discrimination, intimidation, or abusive behavior;
-avoid engaging in plagiarism, cheating, misrepresentation, or any other form of fraudulent or
unethical conduct.
7.2. Any violation of this Code of Conduct may, at the sole discretion of the Organizer, result in the immediate disqualification of the Participant and removal from the Bootcamp without prior notice.
8. Intellectual Property
8.1. Participants shall retain all ownership rights, title, and interest in any original code, content, or materials independently created and submitted by them during the course of the Bootcamp
(“Participant Submissions”).
8.2. By submitting any project or related material in connection with the Bootcamp, each Participant grants the Organizer a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, publish, adapt, and distribute such Participant Submissions, in whole or in part, for marketing, educational, or promotional purposes, including on digital platforms and social media channels.
8.3. Each Participant represents and warrants that their submissions are their original work and do not infringe upon any intellectual property, proprietary, or other rights of any third party. Participants shall indemnify and hold harmless the Organizer from and against any and all claims, liabilities, damages, or expenses arising from any alleged or actual breach of this warranty.
8.4. Neon retains all rights, title, and interest in and to its proprietary intellectual property and content, including but not limited to inventions, concepts, domains, logos, trade dress, source code, discoveries, business processes, trademarks, smart contracts, applications, software, methods, and data—whether or not such materials are patentable, copyrightable, or otherwise subject to protection under intellectual property laws (“Neon IP”). Nothing in these Terms shall be construed as granting any license or right to use Neon IP without the prior written consent of Neon.
8.5. Neon makes no claim to ownership over any trademarks, service marks, or intellectual property owned by third parties that may be referenced or used on the platforms. Neon shall bear no liability for any disputes, claims, or issues arising from the use, misuse, or alleged infringement of such third-party intellectual property by Participants or any other party.
9. Governing Law and Jurisdiction
9.1. These Terms shall be governed by and construed in accordance with the British Virgin Islands laws, excluding the British Virgin Islands conflict of law rules.
9.2. Any dispute, controversy or claim arising out of or in connection with these Terms or the breach, termination, existence, legal competence, or invalidity thereof, shall be exclusively settled by the courts of the British Virgin Islands.
10. Dispute Resolution and Class Action Waiver
10.1. The Participant waives any and all right of class action lawsuit, class-wide arbitration, and/or in any other proceeding in which either party acts or proposes to act in a representative capacity.
10.2. No arbitration or proceeding can be combined with another without the prior written consent of all parties to the arbitration and/or proceeding.
10.3. Any cause arising out of these Terms shall commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
11. Modification and Termination
11.1.These Terms constitute the entire agreement between each of the Participants and Neon here to and supersedes any and all existing or prior agreements and communications, whether written or oral, relating to the subject matter hereof.
11.2.Neon may transfer or assign all of their rights and obligations under these Terms (in whole or in part). The Participants shall not transfer or assign their rights and obligations under these Terms without Neon’s written consent.
11.3.Nothing in these Terms is intended to and creates rights in any person other than the parties hereto.
11.4.Headings of sections are for convenience only and shall not be used to limit or construe such sections.
11.5.If any provision of these Terms is held to be illegal, invalid or unenforceable, such holding shall apply only to such provision and these Terms shall be reformed, construed and enforced so as to most nearly give lawful effect to the intent of the parties thereof.
11.6.Data of the Participants will be extracted before or at the end of the term of the Bootcamp for further processing.
11.7.To the fullest extent permitted by applicable law, the Participant releases Neon and its affiliates from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between Participants and the acts or omissions of third parties.
11.8.The Participant agrees to indemnify Neon and all its affiliates from any claim or demand made by any/all third parties, arising out of:
-the Participant’s breach of the Terms;DRAFT FOR DISCUSSION PURPOSES
-violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or quasi-governmental authorities by the Participant;
-violation of any rights of third parties, including but not limited to intellectual property,
confidentiality, privacy, and/or publicity;
-any misrepresentation of fraud on the part of the Participant.
11.9.The Participants agree to accept communications from Neon in an electronic format, and agree that all terms, conditions, agreements, notices, disclosures or other communications that Neon provides to the Participants electronically will be considered to be “in writing”.
11.10. Neon reserves the right, at its sole discretion, to modify or replace any part of these Terms by a revised version (“New Terms”) at any time and for any reason.
11.11. The New Terms will take effect immediately after its publication unless otherwise stated in the New Terms and Participants agree to be bound by New Terms. The Participants are expected to check this link for any update in the Terms from time to time so they are aware of any changes.
11.12. The Organizer is entitled to close the Bootcamp at any date at its sole discretion.
